Cancellation. If client requests to amend or cancel this agreement, the original retainer shall be

applied to a mutually agreed upon reschedule date with an applied $50 fee, if notice is given 3 days prior to scheduled event. If Client cancels this agreement without rescheduling, or fails to show, at least two weeks prior to the date of the event, all payments made are non-refundable. Client understands and agrees that Photographer will not book other sessions or weddings during thistime. In the event that Client cancels the session or fails to attend the Session Date for anyreason, Photographer shall suffer losses that are difficult to ascertain. Retainer will NOT be

refunded due to client’s error.

3. Rescheduling/Late Arrivals. In the event that the Client requests to reschedule their session,

the retainer shall be applied to a rescheduled session if notice is given at least 3 days prior to

scheduled event. A $50 rescheduling fee will apply. Reschedule must be within 6 months of original session date. The reschedule must be for the SAME type of session. Any Client that is late arriving to the session will have the amount of time allotted for session.

4. Artistic Rights and Image Processing. The Photographer reserves the right of discretion in

selecting the photographic materials that are deemed creditable as professional in quality and

within Photographer's standards. All photographs delivered will be processed to the

Photographer’s professional standards and styles consistent with the photos displayed on website and social media. The client agrees that the artistic decisions involved in this process and any resulting alterations will be solely at the discretion of the photographer. The photographer will enhance images via correction of lighting, and color, as well as blemish removal and subtle smoothing. The client understands that this in no way will include body alteration/modifications. Photographer WILL NOT change any inherent qualities of a person. Once again, edits are solely made by Photographer, any edits by clients or anybody else to digital files will be a breach of contract.

5. Photographic Materials. All photographic materials, including but not limited to digital media

storage devices, photographic files, RAW images, negatives, and transparencies, shall be the

exclusive property of the Photographer. The Photographer shall provide an online gallery

containing the finished digital files available to the Client for immediate download. The digital files

will be available in the highest resolution to the Client. The files contained therein belong to the

Photographer. The digital files will only be stored online and in the Photographer’s storage devices for 1-year past event date. It is the client’s responsibility to make sure they are downloading their digital files immediately and saving them in multiple locations.

6. Copyright, Privacy and Reproductions. The Photographer shall own the copyright in all images created and shall have the exclusive right to make reproductions for, including but not limited to, marketing materials, portfolio entries, sample products, editorial submissions, and use, or for display within or on the Photographer’s website and/or studio, based on choice below.

promote these sessions, however no images will ever be posted without your consent. Please

initial one of the following:

_____ The Client releases ALL photographs taken during the session to the Photographer for

marketing, sample, illustrative, promotional, and other use, including—but not limited to—social

media, website, pamphlet, and advertisement purposes.

OR

______The Client releases ONLY photographs taken during the session that do not depict the

face or any identifying markers/tattoos.

OR

______The Client does NOT release the photographs for promotional use by the Photographer

and requests that all images depicting {his/her} likeness not be shared.

7. Client’s Usage. The Client shall only use the prints, including digital files, in accordance with the permissions within this agreement. The Client’s prints are for personal use only and shall not be submitted to contests, reproduced for commercial use or authorize any reproductions by parties other than the photographer. The Client does not have the right to edit or crop the images in any way.

8. Social Media. The Client shall not copy, screenshot, or capture the photographs in any other

fashion (ex. Saving or screenshotting on Facebook/ Instagram). Client must credit the Photographer in any posts or shares of their own.

9. Failure to Perform. If photographic services cannot be fulfilled due to illness, emergency, fire

casualty, strike, unsafe environment, threat, act of God or causes beyond the control of the

Photographer, Photographer shall return the retainer to the client and shall have no further liability. Further, if the Photographer is unable to deliver photographic materials due to technological malfunctions, including but not limited to camera and processing, or otherwise lost or damaged without fault of the Photographer, liability shall be limited. The limit of liability shall not exceed the contract price stated herein. The photographer will not be held responsible for any ruined photographs due to any cause in or outside the Photographer's control.

10. Photographer’s Standard Price List. The charges in this agreement are based on the

Photographer’s Standard Price List. This price list is adjusted periodically and future orders shall be charged at the prices in effect at the time when the session is booked.

11. Miscellany. This agreement incorporates the entire understanding of the parties. Any

modifications of this Agreement must be in writing and signed by both parties. Any waiver of a

breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of

either the same provision or any other provision of this Agreement.

12. Appropriate Conduct/Safe Work Environment. The Client(s) expressly agree(s) to take best

efforts to provide the Photographer with safe and appropriate working conditions. In the event of

circumstances deemed by either Photographer or a bystander to present a threat or implied threat of injury or harm to Photographer or equipment, Photographer reserves the right to cancel all services remaining under this Agreement and leave the photoshoot. At Photographer's discretion, Photographer may enact or forego a three-strike policy. After the first offense, Photographer will make reasonable efforts to notify the Client(s) or a responsible party. If the Client(s) is/are able to respond to the threatening situation in a reasonable amount of time (maximum of 15 minutes), Photographer shall resume work in accordance with the original terms of this Agreement. If the threatening behavior occurs for a second time, the Client(s) will agree to remove the offending person for the remainder of the event. If the behavior occurs a third time, Photographer will immediately leave the event. If Photographer leaves the event early due to any offending behavior, the Client(s) expressly agree to relieve and hold Photographer harmless as a result of incomplete services, or for a lapse in the quality of the photography work and the Client(s) shall be responsible for payment in full.
